Your vote as a policyholder is important to our corporate governance system. If you cannot attend the meeting, please participate in the balloting by completing and returning the physical ballot mailed to your business address. Votes must be received by 5 p.m. on Aug. 3, 2026, to be included in the final tabulations.

How many directors will be elected at the 2026 Annual Meeting?
At the Annual Meeting, policyholders will elect three (3) directors to the board for a three-year term ending December 31, 2029. Under the corporation’s bylaws, the Board consists of nine (9) Directors serving staggered terms so that no more than three Directors’ terms expire each year.
Who is eligible to vote?
Each person who holds one or more unexpired policies of insurance issued by MEM Mutual Insurance Company is entitled to one vote. A policyholder who is a corporation may vote by proxy by its president, any vice president, secretary, treasurer or through another person appointed by bylaw or resolution of the board of directors to cast the corporate policyholder’s vote.
How can I cast my vote?
You are encouraged to vote in person during the meeting scheduled at 8:30 a.m. Friday, Aug. 7, 2026, at MEM. If you submit your proxy card by mail and do not designate for whom your vote should be cast, the designated proxy will cast your vote in favor of electing Herman A. Styles Jr., Joe L. Moseley, and Gloria Carter-Hicks.
For election to the Board of Directors:
Herman A. Styles, Jr.
Herman A Styles, Jr, is an owner and partner in the Colton’s Restaurant and Grill in Poplar Bluff, Missouri, as well as ten additional locations in Missouri (7), Illinois (1), Arkansas (2) and Mississippi (1). He has served on the MEM board since 2018.
Styles’ has served on the board of directors of Poplar Bluff Regional Medical Center since 1985, J.A.G. Missouri, a statewide program that promotes and sponsors Junior and Senior High School students. He is a past president of the Missouri Restaurant Association and a co-founder and board member of the ERASE Foundation, an organization in Southeast Missouri providing meals, learning centers and transportation assistance to underserved populations.
Joe L. Moseley
Joe L. Moseley retired from Shelter Insurance Companies in August 2014 after 20 years of service, the most recent decade as Vice President of Public Affairs. He has served on the MEM Board of Directors since 2015.
Moseley’s honored career has also included time as Assistant Public Defender, Boone County Prosecuting Attorney and Missouri State Senator.
Gloria Carter-Hicks
Gloria Carter-Hicks is President and CEO of Hicks-Carter-Hicks and has more than 25 years of experience in human resources, learning and development, and organizational development. She has served on the MEM board since 2025 and previously on the Previsor Insurance Company board (an MEM subsidiary) for more than 7 years.
Carter-Hicks current role involves consulting with executives on organizational development, change management, human resources, learning and development, and strategic planning.
